(\u201cViohalco\u201d) has completed the&nbsp;placement of 25,000,000 shares (the \u201cPlacing Shares\u201d) at a price of EUR 2.00 per Placing Share in&nbsp;ElvalHalcor S.A. (the \u201cCompany\u201d), to institutional investors by way of an accelerated bookbuilding process&nbsp;(the \u201cTransaction\u201d). Viohalco\u2019s gross proceeds from the Transaction amount to EUR 50,000,000. The&nbsp;Placing Shares represent 6.66% of the Company\u2019s total share capital.<\/p>\n<p>Immediately following settlement of the Transaction, Viohalco will hold 318,111,475 shares in the&nbsp;Company, representing 84.78% of the Company\u2019s total share capital. The trade date for the Transaction&nbsp;is April 27, 2021 and settlement is expected to occur on April 29, 2021.<\/p>\n<p>AXIA Ventures Group Ltd. and EUROXX Securities SA acted as managers (the \u201cManagers\u201d) in connection&nbsp;with the Transaction.<\/p>\n<p>Viohalco has agreed to a 60-day lock-up period (commencing from 26 April 2021) with respect to any&nbsp;remaining shares of the Company it will hold following the Transaction and that, subject to customary&nbsp;exceptions, no additional sales of shares of the Company will be made by Viohalco during the lock-up&nbsp;period without the consent of the Managers.<\/p>\n<p>About Viohalco<br \/>Viohalco is the Belgium based holding company of a number of leading metal processing companies in Europe.<\/p>\n<p>It is listed on Euronext Brussels (VIO) and the Athens Stock Exchange (BIO).
